Business Formation

Sometimes a sole proprietor makes the most sense, but often it is beneficial to incorporate or to otherwise operate your business as an entity. You might think of business entities as firewalls or “stunt doubles” between personal life and business. Moreover, if more than one person is involved in the ownership of the business, an entity is nearly always the wisest choice. We work together with your accountant to determine which entity, if any, makes the most sense based on your particular situation and the short and long-term goals of your business.
Documentation and Contract Negotiation
Good contracts and written records are the “pound of prevention” when it comes to your business. In business transactions, as in litigation, it can often be said that “if it isn’t in writing, it was never said.” When businesses and businesspeople hit road bumps, memories and understandings tend to differ. That is why good documentation at the outset of any deal or transaction is critical. Sometimes, proper documentation can help avoid disputes and litigation altogether. But, even when litigation is unavoidable, good documentation can provide you and your business clarity as well as protections and advantages that might not otherwise exist. These include provisions that may limit your liability, provide for the recovery of your attorney’s fees and expenses, or require suit to be brought in a court or forum that is most convenient for you.
